Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Espai.AI website and service, provided by Wallner Europa SL ("Espai.AI", "we", "us"), a company based in Barcelona, Spain. By using our website or service you agree to these Terms. If you are entering into these Terms on behalf of a company, you confirm you have authority to bind that company.

The service

Espai.AI records how work is done across your systems, uses AI to identify where time is being wasted, and builds custom automations to eliminate that wasted time. The service includes the recording agent, the AI analysis and dashboards, and the development and operation of automations. Specific features depend on the plan you choose.

Pilot-phase pricing

Espai.AI is currently offered during a pilot phase, and pricing is lower than it will be at general availability. Prices may change in future. If you are an existing client, your pricing is locked in and will not change for at least one year after any published price change.

Pay-when-you-save billing

You pay nothing up front. Billing begins only once automations we have built are live and saving your team time. Charges consist of a monthly per-device fee and a small monthly fee for each active automation, as set out on our pricing page and in your order. Fees are exclusive of any applicable taxes (such as VAT), which will be added where required. Invoices are payable within the period stated on the invoice.

Term and cancellation

There are no long-term contracts. You may cancel the service at any time, and billing for future periods will stop accordingly. On cancellation we will stop recording and, in line with our data processing agreement, delete or return your data. Fees already incurred for automations that were live and saving time remain payable.

Acceptable use

You agree to use the service lawfully and responsibly. In particular, you agree not to:

• use the service in breach of any applicable law or third-party rights;
• deploy the recording agent on devices or in respect of individuals without the necessary legal basis and, where required, notice or consent;
• attempt to reverse engineer, disrupt, or gain unauthorized access to the service or its infrastructure;
• use the service to build automations that are unlawful, harmful, or infringe others' rights.

You are responsible for ensuring that your use of the recording functionality complies with employment, privacy and data-protection law in your jurisdiction.

Your data

Recorded process data stays on your own infrastructure and is processed by our AI solely to deliver the service. It is never sold or shared and is never seen by our staff in the ordinary course of business. Where we act as a processor of personal data on your behalf, our respective obligations are set out in a data processing agreement, and our handling of personal data is described in our Privacy Policy.

Intellectual property

Espai.AI and its underlying software, models and materials remain our property or that of our licensors. You retain ownership of your data and of the outputs specific to your business. We grant you a non-exclusive, non-transferable right to use the service for your internal business purposes for as long as your subscription is active.

Warranties and disclaimers

We provide the service with reasonable skill and care. Because results depend on your processes and environment, we do not warrant specific time savings or that the service will be uninterrupted or error-free. Except as expressly stated, the service is provided "as is" to the fullest extent permitted by law.

Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental or consequential losses, or for loss of profits, revenue or data. Our total aggregate liability arising out of or in connection with the service is limited to the fees you paid to us in the twelve months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded.

Governing law

These Terms are governed by the laws of Spain. The courts of Barcelona, Spain shall have jurisdiction over any dispute arising out of or in connection with these Terms, without prejudice to any mandatory consumer-protection rights you may have.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, notify affected customers where appropriate. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
